Annual Export Certification Statement

It is the policy of VSE Aviation, Inc. (“VSE”) to verify where appropriate the end use and end-user for product sales to ensure compliance with applicable U.S. export control laws and regulations. Because the products provided or returned to the Company by VSE (“Products”) may be exported and used outside of the United States, by signing below the buyer of Products from VSE certifies that:

1. I (“we”) will not export, re-export or transfer any Products to any countries subject to S. embargo. Additionally, U.S. origin technology cannot be used to provide services to embargoed countries.
2. I (“we”) will not sell, transfer, export, or re-export any Products for use in activities which involve the development, production, use or stockpiling of nuclear, chemical, or biological weapons or missiles, nor use products in any facilities which engage in activities relating to such weapons.
3. I (“we”) acknowledge that S. law prohibits the sale, transfer, export, or re-export or other participation in any export transaction involving Products with individuals or companies listed on the U.S. Commerce Department’s Table of Denial Orders, the U.S. Department of State’s list of individuals debarred from receiving Munitions List Items, or the U.S. Department of Treasury’s list of Specially Designated Nationals.
4. I (“we”) will abide by all applicable S. export control laws and regulations for the Products and will secure any licenses or prior approvals required by the U.S. Government prior to export, re-export, or transfer of Products.
5. I (“we”) agree that I (“we”) will not use, sell, resell, deliver, or transfer any Products, directly or indirectly, in a manner that is contrary to U.S. export control laws and regulations.
6. I (“we”) acknowledge that global export controls, including but not limited to EU and UN Sanction regulations also apply to Products and I (“we”) will comply with all applicable export controls.
7. I (“we”) understand that Products are subject to U.S. Government export control requirements and I (“we”) certify and represent that item(s), technical data, and/or services, either directly or indirectly:
   Will not be transferred for any purpose to countries listed in 15 CFR 744.21, prohibited per General Prohibition 5 for Military End-Use or Military End-User, with Supplement 2 to Part 744 describing the list of items subject to this prohibition.
8. I (“we”) confirm that I (“we”) are not restricted nor sanctioned in a way that may affect export privileges under any U.S. law, regulation, standard, list, nor executive I (“we”) confirm that if a subsequent transaction/disposition would require a license, then I (“we”) will not engage in the transaction/disposition without obtaining the appropriate license or identifying and complying with the terms of a relevant United States license exception.
9. I (“we”) agree that I (“we”) will not seek, nor transfer, ownership or possession of the Products for use on an aircraft that is not registered in the United States unless I (“we”) have ascertained that the transaction is permitted (1) to the country in which the vessel or aircraft is located, and (2) to the country in which the vessel or aircraft is registered, (3) to the country, including a national thereof, which is currently controlling, leasing, or chartering the vessel or aircraft, (4) to each of the parties in the transaction; and (5) for the intended purposes of the transaction. I (“we”) further agree not to seek, nor transfer, ownership or possession of the Products to a party or location or for a use that is not permitted under U.S. law.
10. I (“we”) agree that the export control requirements in 1-9 above shall survive the completion, early termination, cancellation or expiration of any applicable purchase order, agreement, or contract. I (“we”) agree that if there is a material change in facts or intentions described in this End Use certification, I (“we”) will promptly notify VSE.
