VSE Aviation Inc. End Use Certificate

This End Use Certificate must be completed and returned to VSE Aviation, Inc. ("VSE") before your order can be processed. It applies to the single order identified in Section 1.

It is the policy of VSE to verify, where appropriate, the end use and end user for product sales to ensure compliance with applicable U.S., UK, EU, and Australian export control laws and regulations. Because the products provided by VSE ("Products") may be exported and used outside of the United States, by signing below the buyer of Products from VSE certifies that:

1. I ("we") will not export, re-export, sell, transfer, or otherwise provide any Products, directly or indirectly, to any country, region, or destination subject to a U.S., UK, EU, UN, OSCE, or Australian embargo, and will not use U.S., UK, EU, or Australian-origin technology to provide services to any such embargoed destination, where such action would breach the terms of that embargo.
2. I ("we") will not sell, transfer, export or re-export any Products for use in activities which involve the development, production, use or stockpiling of nuclear, chemical, or biological weapons or missiles, nor use products in any facilities which engage in activities relating to such weapons.
3. I ("we") acknowledge that U.S., UK, EU, and Australian law prohibits the sale, transfer, export, or re-export or other participation in any export transaction involving Products with individuals or companies listed on any applicable denied parties lists, debarment lists, or other restricted parties lists maintained by the U.S., UK, EU or Australian governments.
4. I ("we") will abide by all applicable U.S., UK, EU, and Australian export control laws and regulations for the Products and will secure any licenses or prior approvals required by the U.S., UK, EU, and Australian Governments prior to export, re-export or transfer of Products, and will not proceed with any transaction or disposition that requires a license until that license, or a qualifying license exception, has been obtained and its terms satisfied.
5. I ("we") agree that I ("we") will not use, sell, resell, deliver or transfer any Products, directly or indirectly, in a manner that is contrary to U.S., UK, EU, and Australian export control laws and regulations.
6. I ("we") acknowledge that United Nations Security Council imposed sanctions apply to Products and I ("we") will comply with all applicable export controls.
7. I ("we") understand that Products are subject to U.S., UK, EU, and Australian Government export control requirements and I ("we") certify and represent that item(s), technical data, and/or services, either directly or indirectly, will not be transferred for any purpose to countries or entities subject to military end-use or military end-user restrictions under U.S., UK, EU, and Australian laws and regulations, including but not limited to those listed in 15 CFR 744.21, and its supplements, as well as any equivalent lists or regulations maintained by the U.S., UK, EU, and Australian authorities.
8. I ("we") confirm that I ("we") are not restricted nor sanctioned in a way that may affect export privileges under any U.S., UK, EU, and Australian law, regulation, standard, list, nor executive order. (See No. 4 regarding licensing requirements.)
9. The Importer/Buyer shall not sell, export, or re-export, directly or indirectly, to the Russian Federation or Belarus, or for use in either country, any goods or technology supplied under this Agreement that fall within the scope of Art. 12g Reg. (EU) 833/2014 or Art. 8g Reg. (EC) 765/2006.

The Importer/Buyer shall use its best efforts to ensure that this prohibition is not frustrated by any third parties or resellers further down the commercial chain.

Any breach of this clause shall be considered a material breach of contract, entitling the Exporter to terminate this Agreement. The Importer/Buyer shall immediately notify the Exporter of any potential compliance issues or activities by third parties that could violate this clause.
10. I ("we") agree that the export control requirements in No. 1-9 above shall survive the completion, early termination, cancellation or expiration of any applicable purchase order, agreement or contract. I ("we") agree that if there is a material change in facts or intentions described in this End Use certification, I ("we") will promptly notify VSE.
11. I ("we") acknowledge that, separately from the U.S., UK, EU, UN, and Australian controls referenced above, Products may also be subject to the export, import, and strategic goods control laws of the country in which the purchaser and the end user are located and operate, including any catch-all or end-use-based control applicable to military or government end use in that country, and I ("we") will comply with those laws independently of this Certificate.
